By accessing or using the Smood'it website (smoodit.co.il) or any related materials, you agree to be bound by these Terms of Use in their entirety. If you do not agree to any of these terms, please discontinue use of this site immediately. Smood'it (Smooder Technology Ltd.) reserves the right to amend or replace these terms at any time; continued use of the site following any update constitutes acceptance of the revised terms.

2. Informational Use Only - No Binding Commercial Offer

All content published on this website - including product descriptions, feature lists, pricing indications, leasing model illustrations (including the reference to 999 ILS/month per machine and the 35,000 ILS purchase price), and any other commercial figures - is provided for general informational and illustrative purposes only. No content on this website constitutes a binding commercial offer, a contractual proposal, or any other legally enforceable commitment by Smood'it. All sales, leases, and service arrangements are subject exclusively to the terms of a separate, duly signed definitive agreement between Smood'it and the customer. Smood'it reserves the right to change pricing, product configurations, and availability without notice.

3. ROI Calculator - No Financial Guarantee

The ROI Calculator and any revenue projections displayed on this website are mathematical estimates based on general market assumptions and inputs provided by the user. They are intended solely as a planning illustration and do not constitute a guarantee, promise, or warranty of any minimum revenue, profit, foot traffic, or financial return. Actual results may vary materially based on factors beyond Smood'it's control, including location demographics, facility foot traffic, competitor offerings, pricing decisions, seasonal variation, equipment uptime, and operational management by the hosting business. Smood'it expressly disclaims any liability arising from reliance on ROI Calculator outputs.

4. Food Safety, Allergens & Nutritional Information

Smood'it stations dispense products made from IQF (Individually Quick Frozen) fruit and other ingredients. Any ingredient lists, allergen information, or nutritional data appearing on this website are provided for general illustrative purposes only and may not reflect the exact formulation, sourcing, or preparation conditions at any specific installation site. Smood'it is not liable for any allergic reaction, adverse health event, cross-contamination, or harm arising from consumption of products dispensed through its stations. The final operating business (the customer entity that has entered into an agreement with Smood'it and operates the station on its premises) is solely responsible for reviewing the physical product packaging supplied with each delivery, ensuring allergen disclosures are communicated to end-users in accordance with applicable law, and maintaining safe operating conditions. End-users with known food allergies or dietary restrictions should always review physical packaging and consult a qualified medical professional before consumption.

5. Website Provided As-Is - No Warranty of Availability or Security

This website and all content, tools, and features contained herein are provided on an as-is and as-available basis, without any warranty of any kind, express or implied. Smood'it does not warrant or represent that: (a) the site will be available at all times, free of interruption or error; (b) any defect or error will be corrected; (c) the site or its servers are free from viruses or other harmful components; or (d) the site meets absolute cybersecurity standards. Access to and use of this website, including the submission of any forms, is at the user's sole risk.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Smood'it and its shareholders, directors, officers, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to: (a) your access to or use of this website; (b) reliance on any content, projection, or estimate published on the website; (c) any food-related harm described in Section 4; or (d) any unauthorized access to or alteration of your data. This limitation applies regardless of the legal theory asserted.

7. Intellectual Property

All content on this website - including text, copy, graphics, logos, trademarks, images, video, animations, and software - is the exclusive property of Smood'it (Smooder Technology Ltd.) or its duly licensed partners, and is protected under Israeli copyright law (Copyright Act, 2007) and applicable international intellectual property laws. No content may be copied, reproduced, distributed, publicly displayed, modified, or otherwise exploited without the prior express written consent of Smood'it.

8. Privacy Policy - Data Collection & Use (Amendment 13)

Smood'it (Smooder Technology Ltd.) operates in accordance with the Israeli Protection of Privacy Law, 1981, and Amendment 13 thereto (effective August 14, 2025). This section constitutes the website's full privacy policy. (a) Database controller: Smooder Technology Ltd., registered database owner in Israel. (b) Categories of data collected: (1) Information you voluntarily submit through the contact form - full name, email address, phone number, organization name, and message content; (2) Technical data automatically collected - IP address, browser type, operating system, screen resolution, entry/exit pages, time on page, and referring URL; (3) Information collected via cookies (see Section 9). (c) Purposes of processing: (1) Responding to your inquiries and providing business information; (2) Issuing quotes and scheduling meetings; (3) Improving the website and user experience; (4) Statistical analysis and usage trends; (5) Direct marketing communications about Smood'it products and services, subject to your express consent under the Communications Law (Bezeq and Broadcasts), 1982. (d) Legal basis: Your express consent under Section 1 of the Privacy Protection Law, the legitimate interest of the company (CRM, security), and compliance with legal obligations. (e) Retention period: Data is retained for as long as necessary to fulfill the purposes for which it was collected, and at minimum 7 years following your last contact, unless a longer period is required by law or you submit an earlier deletion request.

9. Cookies & Tracking Technologies

This website uses cookies and similar tracking technologies in accordance with Amendment 13 and the guidelines of the Privacy Protection Authority. (a) Cookie types: (1) Essential cookies - required for core site operation, language preference memory, and security; cannot be disabled and do not require consent; (2) Functional cookies - store user preferences (such as cookie banner acknowledgment); (3) Analytics cookies - collect anonymous statistical data on site usage (e.g., Google Analytics) to improve user experience; (4) Marketing cookies - used to tailor advertising content. (b) Consent: On first visit, a dedicated Cookie Banner is displayed allowing you to accept, reject, or selectively choose which categories to enable. Your choice is stored in browser localStorage and respected until updated. In accordance with Amendment 13 of the Privacy Protection Law, you have the following rights with respect to personal data held by Smood'it: (a) Right of access - the right to know how your data is collected, the purposes of use, and the recipients; (b) Right of correction - the right to request correction of inaccurate, incomplete, or outdated data; (c) Right to be forgotten (right of erasure) - the right to request full deletion of your personal data from the company's databases, provided there is no legal obligation to retain it (e.g., tax reporting); (d) Right of portability - the right to receive your data in a structured, machine-readable format; (e) Right to object - the right to object to processing for direct marketing purposes; (f) Right to withdraw consent - the right to withdraw consent at any time, without affecting the lawfulness of prior processing. How to submit a request: send a written request to info@smoodit.co.il or via the website contact form, accompanied by an identification document for identity verification. Smood'it will respond within 30 days. If a request is denied (e.g., due to a conflicting legal obligation), a detailed explanation will be provided. If you believe your rights have been violated, you may file a complaint with the Privacy Protection Authority at the Ministry of Justice.

11. Sharing with Third Parties

Smood'it does not sell personal data to third parties. We may share personal data only in the following defined cases: (a) Service providers (data processors) - external companies acting on our behalf for website hosting (Vercel), email services, analytics (Google Analytics), and customer support tools. These providers are bound by confidentiality and data processing agreements (DPA) and act only on our instructions; (b) Legal obligation - when required by law, court order, or formal request from a competent authority; (c) Rights protection - to enforce these terms, prevent fraud, or protect our or other users' rights; (d) Merger or acquisition - in the event of a change of control, subject to continued protection of the data; (e) Cross-border transfers - some service providers are located outside Israel (e.g., the US or EU). Such transfers are made only in accordance with the Privacy Protection Regulations (Transfer of Information to Databases Outside Israel), 2001, and based on appropriate safeguards (e.g., Standard Contractual Clauses). We do not share your data with any other parties for their independent commercial use.

12. Information Security

Smood'it implements reasonable technical, organizational, and physical security measures to protect personal data from unauthorized access, loss, alteration, or disclosure. These include: encrypted internet traffic (HTTPS/TLS), access controls, anomaly monitoring, and periodic backups. Notwithstanding the above, no system is completely secure and absolute security cannot be guaranteed. In the event of a serious security incident affecting personal data, we will notify the Privacy Protection Authority and affected users, in accordance with the breach notification obligations under Amendment 13.

14. Governing Law & Jurisdiction

These Terms of Use shall be governed by and construed exclusively in accordance with the laws of the State of Israel, without regard to conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these terms or your use of this website shall be subject to the exclusive jurisdiction of the competent courts located in Tel Aviv-Yafo, Israel.
